Sasha Orloff, founder and chief executive of Puzzle, has outlined the specific financial expectations venture capitalists hold for startup founders. Speaking on the Build Mode podcast, Orloff, who has raised more than $1 billion collectively across his ventures, emphasised that investors prioritise founders who have a clear grasp of their business’s financial reality.
According to Orloff, messy data or misunderstood metrics can significantly reduce a founder’s negotiating power. He noted that while investors do not expect a startup to be perfect, they do expect founders to understand the underlying numbers that drive the company’s value. This clarity is essential for securing better leverage and higher valuations during the fundraising process.
Orloff shared a personal anecdote regarding the risks of poor preparation, revealing that he nearly lost a term sheet because his data room was not ready for diligence. This experience underscores the importance of having a well-organised financial house before engaging with potential investors.
Timing is another critical factor in the fundraising equation. Orloff advised founders against waiting until their cash reserves are low to begin the process, noting that this delay can cost significant leverage. He explained that the diligence process itself changes as a startup grows in size, requiring founders to adapt their financial presentation accordingly.
