Fulcrum Therapeutics, Inc. has completed its merger with Slate Medicines, Inc., creating a combined entity dedicated to the development of next-generation treatments for migraine and other headache disorders. The merged company will operate under the Slate Medicines name and will be listed on the Nasdaq under the ticker symbol SLTE.

The transaction was accompanied by a concurrent private placement that raised $245 million in new capital. Slate Medicines reported that the offering was oversubscribed, with participation from a group of prominent healthcare investors. The financing was led by Frazier Life Sciences and included contributions from Forbion, RA Capital Management, and Deep Track Capital.

Gregory Oakes, chief executive officer of Slate Medicines, stated that the merger and associated financing are designed to provide the necessary resources to advance the company’s lead candidate, SLTE-1009, and its broader pipeline through clinical milestones. Oakes noted that migraine remains one of the most prevalent and disabling neurological diseases, yet millions of patients continue to be underserved by existing therapies.

The influx of capital is expected to significantly extend the company’s operational runway. Slate Medicines indicated that its cash balance following the private placement is projected to fund operations into 2029, providing a stable financial foundation for the development of its therapeutic candidates.

The merger consolidates the assets and expertise of both Fulcrum Therapeutics and Slate Medicines, positioning the new entity to pursue its clinical objectives with enhanced financial resources. The combined company is now focused on advancing its pipeline through potentially meaningful clinical milestones in the treatment of headache disorders.
