Curaleaf Launches Unsolicited $4-a-Share Bid for Aurora Cannabis
Shares of Aurora Cannabis rally as Curaleaf proposes cash-and-stock deal, though board warns valuation falls short of recent trading levels.

US multi-state cannabis operator Curaleaf has announced an unsolicited takeover bid for Aurora Cannabis, proposing a cash-and-stock transaction valued at $4 per share. The move follows the collapse of private acquisition talks between the two entities, prompting Curaleaf to establish a special committee to review the proposal before presenting it directly to Aurora’s shareholders.
Aurora Cannabis shares responded positively to the announcement, rising to trade around $3.48. This current price represents a discount to the proposed bid, suggesting potential upside for investors if the deal proceeds. Curaleaf stock also climbed approximately 6% following the disclosure of the acquisition plans.
The strategic rationale for the bid centres on Curaleaf’s desire to accelerate its international expansion into European medical markets, specifically targeting Germany, Poland, and the United Kingdom. The acquisition would grant Curaleaf access to Aurora’s EU-GMP certified cultivation facilities, including those of the recently acquired Safari Flower Company, which adds over 50 tons of annual production capacity.
If completed, the combination of the two firms would create a global presence spanning 17 countries. Curaleaf projects the merged entity would generate more than $1.5 billion in annual revenue and achieve at least $40 million in annual cost synergies.
Despite the premium offered, Aurora’s board has indicated that the proposed valuation cap is below the prices at which Aurora shares traded as recently as December 2025. This discrepancy has led some analysts to suggest that the firm may be worth more as a standalone entity, citing the potential undervaluation of Aurora’s long-term medical franchise.
Wall Street had previously assigned a consensus Moderate Buy rating to Aurora Cannabis, with price targets reaching as high as $5.71. While the recent surge has lifted shares, Aurora Cannabis stock remains down approximately 10% year-to-date. The outcome of the bid remains uncertain, with possibilities ranging from acceptance to rejection or the pursuit of a higher offer.
