Victory Capital CLO Gupta’s Shares Vest Following First Price Target Achievement
Nina Gupta, chief legal officer at Victory Capital Holdings, automatically disposed of 9,732 shares on 5 August after the board confirmed the company’s stock had cleared the first of four performance hurdles linked to a March 2026 equity grant.

Nina Gupta, chief legal officer of Victory Capital Holdings, executed a non-discretionary sale of 9,732 shares on 5 August to satisfy tax withholding obligations arising from the vesting of performance-based restricted stock. The transaction was processed at a weighted average sale price of $99.97, with the post-transaction valuation based on the market close on the same day.
The vesting event was triggered after the Compensation Committee of the Board of Directors confirmed that Victory Capital’s equity had achieved the first of four stock price performance hurdles associated with a March 2026 equity grant. This milestone was supported by a 44% one-year return for the stock as of the transaction date, demonstrating the company’s ability to meet the specific criteria required for the executive’s compensation to vest.
Despite the automatic disposition of the vested shares, Gupta retains a substantial direct ownership stake in the firm. According to the filing, she holds 245,350 shares, valued at approximately $24.5 million based on the 5 August market close, alongside significant outstanding derivative awards. The disposition was strictly non-discretionary and did not reflect an insider assessment of the company’s current valuation.
The vesting occurs against a backdrop of strong financial performance for Victory Capital. In its latest reported quarter, the firm recorded a 24% increase in revenue to $435 million, while client assets grew to $346 billion. The asset manager has also completed the absorption of its Pioneer Investments acquisition, securing the full $110 million in expected cost savings from the deal.
Chief Executive Officer David Brown has identified inorganic growth as a strategic priority, citing an active deal pipeline aimed at eventually reaching $1 trillion in assets. While the Motley Fool Stock Advisor analyst team did not include Victory Capital in its recent list of top ten stocks for investors, the firm’s continued execution on performance metrics and acquisition strategy remains a key focus for market observers.
